NFT Purchase Agreement

1.1 By purchasing, receiving, holding, listing, selling, or otherwise transferring a Legend NFT, you agree to this Agreement.

1.2 A Legend NFT is a blockchain-based digital collectible. Ownership of a Legend NFT means lawful ownership of the relevant token only, together with the rights expressly granted in this Agreement and the Terms of Service.

1.3 Any person who acquires a Legend NFT in a secondary transaction is deemed to accept this Agreement and the Terms of Service. If you directly transfer a Legend NFT, you should provide the transferee with a link to this Agreement.

2.1 All sales of Legend NFTs are final. Refunds, returns, chargebacks, transaction reversals, and credits are not available except where required by non-waivable law.

2.2 You are responsible for providing a compatible wallet address and for paying the purchase price, gas fees, taxes, and any marketplace or blockchain fees connected to your transaction.

2.3 We may delay, refuse, limit, or cancel a purchase before delivery of the NFT where reasonably necessary for compliance, security, sanctions screening, fraud prevention, technical integrity, or legal reasons.

3.1 Subject to your continued compliance with this Agreement and the Terms of Service, the Company grants you a broad, worldwide, non-exclusive, revocable license, with no revenue cap, to use, reproduce, display, publish, distribute, market, sell, create derivative works from, and otherwise commercially exploit the artwork associated with the specific Legend NFT you lawfully own.

3.2 This includes use of the artwork in merchandise, advertising, products, packaging, media, derivative projects, and other commercial activities, directly or through employees, contractors, manufacturers, distributors, marketplaces, or service providers acting on your behalf.

3.3 This license is non-exclusive. The Company retains all ownership and intellectual property rights in and to the artwork and related elements and may use, license, commercialize, modify, and authorize others to use the same artwork and related intellectual property at any time.

3.4 No rights are granted in the Company's trademarks, logos, names, lore, platform assets, or other brand identifiers except as reasonably necessary to identify the specific NFT artwork you own.

3.5 The artwork license automatically ends if you transfer the Legend NFT or breach this Agreement or the Terms of Service. Upon a valid transfer, the artwork license passes to the new lawful holder of that NFT.

4.1 A Legend NFT may be associated with utilities, access rights, perks, events, content, or other benefits from time to time, but none are guaranteed unless expressly stated by the Company in a binding written agreement.

4.2 Any utility, access right, reward, roadmap item, feature, event, or perk may be updated, delayed, reduced, suspended, or removed at any time, with or without notice, and without compensation.

4.3 You acknowledge that you are not relying on any future roadmap item, future feature, future utility, community statement, social media post, or other marketing statement not expressly set out in a binding written agreement signed by the Company.

5.1 Legend NFTs are provided "as is," "as available," and "with all faults." We make no promise that a Legend NFT, any related media, or any related utility will be uninterrupted, error-free, secure, or continuously available.

5.2 You assume all risks related to blockchain technology, wallet security, lost private keys, third-party marketplaces, smart contract issues, network failures, metadata hosting, and changes in law or market conditions.

5.3 Legend NFTs are digital collectibles, not investments, securities, or financial products. We do not guarantee profits, appreciation, resale value, liquidity, or any return.

6.1 The indemnification, limitation of liability, damages exclusions, dispute resolution, individual-only arbitration, class action waiver, governing law, and other protective provisions in the Terms of Service are incorporated into this Agreement and apply to all disputes arising out of or relating to the purchase, ownership, holding, use, or transfer of a Legend NFT.
